Client Terms & Conditions of Contract
These Terms and Conditions of Contract (“Terms”) outline the rights and responsibilities of the Client (“you”) and Advanced Groundworks & Landscapes Ltd (“we” or “us”). These Terms apply to the provision of goods and services by Advanced Groundworks & Landscapes Ltd, and they are in compliance with English laws.
1. Services
1.1 Advanced Groundworks & Landscapes Ltd provides Groundworks and General Services, collectively referred to as “Services.” These Services encompass groundworks labor, materials, plant, machinery, and related services.
1.2 Our Services cover the entire spectrum of your groundworks project, from design and planning to groundworks and landscape finishing, up to completion.
1.3 We assure you that we will exercise reasonable care and skill in delivering the Services in accordance with the provided quotation and specifications, complying with all relevant laws and safety regulations.
1.4 We may make necessary changes to the Services to ensure compliance with applicable laws and safety requirements, with prior notice to you.
1.5 Our service area includes Buckinghamshire and the surrounding regions, accommodating projects of varying scales, from large-scale house-build groundworks to smaller projects like driveways, gardens, and patios. Our clients include both private domestic and commercial entities.

1.7 We commit to a cooperative and helpful approach, striving to complete your groundworks promptly, considering factors like weather conditions, site conditions, material availability, and unforeseen circumstances.
2. Application and Agreement
2.1 These Terms apply to the provision of our Services, as detailed in our Quotation of Services, to you.
2.2 Acceptance of our Quotation of Services or the commencement of our Services, whichever is earlier, implies your acceptance of these Terms, constituting the entire agreement between us.
2.3 These Terms supersede any other terms or conditions, whether implied by trade, custom, practice, or course of dealing.
3. Communications
3.1 We primarily use mobile phone communication.
3.2 Quotations and invoices will be delivered in person or via email, as mutually agreed.
4. Quotations
4.1 We provide a written quotation, including essential details regarding the duration and completion of the works or as agreed.
4.2 Any request for clarification of the quotation can be addressed through mobile phone communication or via email.
4.3 Acceptance of our quotation, whether verbal or written, initiates a binding contract between us.
4.4 Once you accept our quotation, and work commences or materials are ordered, a contract is established, and the binding terms of the contract take effect.
4.5 Depending on the work’s size or duration, some projects may require an advance deposit and staged payments, to be agreed upon beforehand.
4.6 We reserve the right to withdraw, cancel, or amend a quotation if not accepted within 7 days from the date of the quotation, unless withdrawn.
4.7 Either party may cancel an order for any reason before your acceptance or rejection of the quotation.
4.8 Amendments to the Services must be communicated as soon as possible, and any additional costs will be added to the Fees.
4.9 Last-minute variations during the work can be agreed on the day and added to your invoice as necessary.
4.10 Quotations are valid for one month from the date of verbal quotation or as indicated in the written quotation.
4.11 Quotation costings are based on the assumption of free access to the work site during our standard working hours, which are 8am to 6pm, Monday to Saturday, unless otherwise agreed.
4.12 Prior arrangements regarding site working hours and working methods will be established.
4.13 Free, unobstructed access is essential for the safe delivery of our equipment, materials, and waste disposal.
4.14 Advanced Groundworks & Landscapes Ltd may employ on-site ground-worker operatives or subcontract plant and machinery operators as necessary, ensuring full responsibility for contract management.
5. Quotations – Exclusions
5.1 The following services are not typically included in our quotations unless arranged and agreed upon in advance, incurring additional costs:
– Temporary signage, barriers, and road plates.
– Site security fencing.
– Testing and commissioning of new services.
– On-site investigation work or trial holes.
– Health, welfare, and secure storage.
– Temporary access roads and hard-standings.
– Setting out, line, and level (unless arranged with the client).
– Traffic management.
– Temporary power and water.
5.2 The responsibility for site perimeter security fencing lies with the client, unless otherwise arranged.
5.3 Any additional works discovered on-site before work commences require agreement with the client and a separate revised quotation or variation to the contract.
5.4 Any last-minute variations during the work will be agreed upon and added to your invoice as needed.
6. Deposits – Payments – Invoicing
6.1 Deposits must be paid as agreed in advance of work commencement.
6.2 Staged payments, as agreed, must be made promptly, or work progress may be halted until resolved.
6.3 Payment methods will be agreed upon before work commencement.
6.4 Invoices will be delivered in a timely manner, serving as your receipt for payment.
6.5 Materials supplied by us remain our property until fully paid to our satisfaction.
6.6 All payments must be made in full without deduction or withholding, except as required by law.
6.7 Failure to make payment within the specified period may result in the suspension of further Services and the cancellation of future orders.
7. Publication and Confidentiality
7.1 We will not publish any photographs, illustrations, or identifiable information related to your project or worksite without your consent.
7.2 We may use photographs of the project, our plant, and machinery on-site for our work portfolio, marketing, and informational purposes. However, we will respect your confidentiality and privacy.
8. Sub-Contractors:
8.1 When using sub-contractors, we ensure they are appropriately qualified, certified, and covered by the required Liability Insurance.
8.2 We, as the main contractor, are not liable for any losses incurred by sub-contractors.
9. Risks
9.1 We are responsible for equipment, materials, and labor provided during the work. However, we are not liable for the replacement of materials or equipment once installed or rework for factors beyond our control.
10. Retentions:
10.1 Our quoted costs do not typically include retentions unless agreed upon in advance.
11. Public Liability Insurance
11.1 Advanced Groundworks & Landscapes Ltd maintains current Public Liability Insurance for all on-site work.
12. Your Obligations
12.1 Any delay or failure in providing our Services resulting from your failure to comply with these obligations will not make us liable.
12.2 You are responsible for obtaining necessary permits, permissions, consents, licenses, and providing access to relevant information required for our Services.
12.3 You must arrange planning permissions, building control requirements, and any required utility service modifications. You are liable for any associated costs.
12.4 If planning permission or utility service modifications are necessary, we may request proof of arrangements before commencing work.
12.5 If you do not fulfil the above obligations, we may terminate the Services.
12.6 We are not liable for any work that requires prior approvals or consents, for which you do not hold the necessary permissions.
12.7 You must bear the cost of drain testing expenses unless otherwise arranged.
13. Underground Services Hazards
13.1 It is your responsibility to clearly indicate the locations of all underground services, including redundant and neighbouring services, before any groundworks commence.
13.2 The client must indicate service locations with visible markers, and we will not be liable for any damages to services for which we were not previously informed.
14. Liability and Indemnity
14.1 Our liability is limited to the total Fees payable under the Contract.
14.2 We are not liable for indirect, special, or consequential losses, including but not limited to loss of profits, business interruption, or third-party claims.
14.3 We will not be held liable for costs incurred due to delays beyond our control.
14.4 We may invoke a Standing Time charge in case of excessive delays outside our control.
14.5 We may terminate the provision of Services in the event of your material breach of these Terms.
14.6 Nothing in these Terms excludes or limits our liability for death, personal injury, or fraudulent misrepresentation.
15. Data Protection
15.1 Client information is retained in compliance with the Data Protection Act 2018, ensuring the confidentiality of personal client details.
16. Circumstances Beyond a Party’s Control
16.1 Neither party is liable for failures or delays caused by circumstances beyond their reasonable control, including, but not limited to, equipment failure, industrial action, acts of terrorism, acts of war, natural disasters, or governmental actions.
17. Disputes and Complaints
17.1 We encourage the resolution of disputes or complaints through direct communication with us.
18. Law and Jurisdiction
18.1 These Terms are governed by and interpreted according to the Law of England.
18.2 All disputes arising under these Terms are subject to the jurisdiction of the courts of England.
19. Amendments
19.1 We may update these Client Terms & Conditions of Contract as needed by publishing a new version on our website. Please check for updates before conducting business with us.
